1. Who these terms are with
These terms are between you and [legal entity name, registration number, registered address] (“GRYPHEM PAY”, “we”). They govern use of the GRYPHEM PAY website, dashboard, API and documentation.
2. What these terms cover
- You can create an account, set up organisations and stores, invite your team and submit business verification. No payments are processed through GRYPHEM PAY under these terms.
- Live payments, live networks, fiat payment methods, custody of crypto-assets and any other regulated service are not offered under these terms.
3. Your account
You are responsible for the accuracy of your account information, for keeping your credentials and API keys secret, and for the actions of people you invite to your organisation. Tell us promptly about any suspected unauthorised access.
4. Acceptable use
- Do not attempt to access other organisations’ data, disrupt the service, or test security without following our reporting process.
- Do not submit personal data beyond what is needed to set up your account and integration.
5. Keys and custody
Until live processing is authorised and enabled for your organisation, GRYPHEM PAY holds no funds for you.
Live processing is not offered under these terms. It is designed to be custodial: customers would pay wallets controlled by GRYPHEM PAY through its Bitcart account, and the funds would be held on the merchant’s behalf until withdrawn through approved payouts. It becomes available only once release gates are passed, one of which requires authorisation to hold and transfer customers’ crypto-assets (or counsel’s written opinion that none is required). [Terms for live custodial processing — to be drafted by counsel if and when live processing is authorised.]
You remain responsible for any keys and wallets you control. Never provide private keys or seed phrases to GRYPHEM PAY; we will never ask for them.
6. Availability and changes
Until live processing is enabled for your organisation, the service is provided “as is” and may change or be interrupted. We may update these terms; material changes will be announced in the dashboard.
7. Liability
[Limitation of liability and warranty disclaimer — to be drafted by counsel for the applicable jurisdiction.]
8. Governing law
[Governing law and venue — to be determined with the operating legal entity.]
